1. Definitions

In these Terms and Conditions:

• "Sukhumvit Heritage", "we", "us", "our" refers to the legal practice operating under the name Sukhumvit Heritage, with offices at 67 Sukhumvit Soi 24, Khlong Tan, Khlong Toei, Bangkok 10110, Thailand.
• "Services" means the estate inventory and valuation counsel, business succession counsel, and charitable bequest and foundation counsel described on this website and provided pursuant to individual engagement agreements.
• "Website" means the website operated by Sukhumvit Heritage at sukhumva.info.
• "User", "you", "your" refers to any person accessing the Website or engaging the Services.
• "Engagement Agreement" means the written or verbal agreement entered into between Sukhumvit Heritage and a client setting out the scope, fee, and terms of a specific engagement.
• "Content" means all text, documents, and other materials on the Website.

2. Acceptance of Terms

By accessing this Website or engaging the Services, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms. Use of this Website by persons under 18 is not permitted.

Your engagement of the Services will be governed by these Terms together with any applicable Engagement Agreement. Where these Terms and an Engagement Agreement conflict, the Engagement Agreement will take precedence for the matters it covers.

3. Service Description and Availability

Sukhumvit Heritage provides estate and inheritance legal counsel services in Thailand, specifically estate inventory and valuation counsel, business succession counsel, and charitable bequest and foundation counsel. Services are described on the Website for general informational purposes; the specific scope of any engagement is agreed in writing before work begins.

Services are available to clients with a connection to Thailand — by residence, asset ownership, family situation, or other relevant nexus. We reserve the right to decline an engagement where we determine, in our discretion, that we are not well-placed to assist.

4. User Responsibilities

When using this Website or engaging the Services, you agree to:

• Provide accurate and complete information in connection with enquiries and engagements.
• Not use the Website for any unlawful purpose or in any way that could damage, disable, or impair the Website.
• Not attempt to gain unauthorised access to any part of the Website or its underlying systems.
• Not transmit any material that is harmful, offensive, or in violation of any applicable law.
• Notify us promptly if information you have provided changes in a way that is material to an ongoing engagement.

5. Intellectual Property

All content on this Website — including text, design, layout, and graphics — is the property of Sukhumvit Heritage or its licensors and is protected by applicable Thai and international intellectual property laws.

You may access and use the Website for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from any Website content without our prior written consent. Documents prepared in the course of a client engagement are provided for the client's use in connection with that engagement and may not be used for other purposes without our consent.

6. Fees and Payment

Service fees are as stated on the Website and in the applicable Engagement Agreement. All fees are in Thai Baht (฿) unless otherwise agreed. Fees are agreed before work commences; work will not begin until the fee arrangement has been confirmed.

Payment terms are set out in the Engagement Agreement. Where an engagement does not proceed to completion at the client's election after work has begun, a fee proportionate to the work completed may be charged at our discretion.

Fees do not include registration fees, court fees, or third-party professional costs (such as property valuers) unless expressly stated. Such additional costs will be agreed in advance.

7. Service Delivery Terms

The scope of each engagement is defined in the applicable Engagement Agreement. Any request to expand the scope of an engagement will be discussed and, if agreed, documented in writing before additional work begins.

Timelines indicated for engagements are estimates and may vary depending on the complexity of the matter, the responsiveness of third parties (including valuers and government registries), and other factors outside our direct control.

All client communications and engagement files are subject to legal professional privilege and confidentiality obligations as applicable under Thai law and the Thai Bar's professional regulations.

8. Disclaimers

The content of this Website is provided for general informational purposes only and does not constitute legal advice. No client-practitioner relationship is created by use of the Website. Legal advice is provided only through formal engagement.

While we take care to ensure Website content is accurate and current, we make no representation as to its completeness, accuracy, or fitness for any particular purpose. We disclaim all warranties to the fullest extent permitted by Thai law.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sukhumvit Heritage shall not be liable for any indirect, incidental, consequential, or special damages arising from use of the Website or from any service engagement. Our liability in connection with any engagement shall not exceed the fee paid for that specific engagement.

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under Thai law.

10. Indemnification

You agree to indemnify and hold harmless Sukhumvit Heritage and its practitioners from any claims, losses, liabilities, and costs (including reasonable legal fees) arising from your misuse of the Website, your breach of these Terms, or any inaccurate information provided by you in connection with an engagement.

11. Termination

Either party may terminate an engagement by written notice. If you terminate an engagement after work has begun, a fee proportionate to work completed may apply as described in Section 6. We reserve the right to terminate an engagement in limited circumstances, including where a conflict of interest arises or where continued engagement would require us to act contrary to our professional obligations.

Sections 5, 8, 9, 10, 13, and 14 of these Terms survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Thailand. Any dispute arising from or related to these Terms or any engagement shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to the jurisdiction of the Thai courts, with Bangkok courts having primary jurisdiction.

Complaints about our services may also be directed to the Thai Bar Association under its professional conduct procedures.

13. General Provisions

• Entire Agreement: These Terms, together with any applicable Engagement Agreement, constitute the entire agreement between the parties for the matters they cover.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
• Notices: Notices to us should be sent by email to [email protected] or by post to our Bangkok address.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Changes take effect when posted. Continued use of the Website or Services after any change constitutes your acceptance of the revised Terms.
